Board Meeting Quorum

What is quorum? 

For a board meeting to be properly convened, there must be a quorum of directors who are able to vote on the matters being discussed. Quorum requirements can be changed by the MOI, but the general requirement is that a simple majority of directors who are able to participate and vote are present for the meeting to be quorate. 

Directors who have a personal interest in a matter being voted on are not considered for quorum.
